Loyalty Program Terms of Use
These terms and conditions govern the Innobaby Loyalty Program (the “Program”) offered by Innobaby LLC (“Sponsor”, “We”, “Our”). The Program is accessible through www.innobaby.com (the “Rewards Program Website”) and any other related sites and applications referred to on the Program Website. The Program is subject to these specific Terms and Conditions, as well as the general Terms of Use available at https://www.innobaby.com/pages/terms-conditions (collectively referred to as the “Terms”).
1. Acceptance of These Terms
By enrolling in or using the Program, you accept and agree to be bound by these Terms.
2. Program Description, Eligibility, and Earning Points
The Program is a free, points-based rewards program offered by Innobaby LLC (“Sponsor”). Through the Program, participants earn points (“Points”) on qualifying purchases and activities as outlined on the Program Website. Eligibility is limited to individuals aged 18 or older. Business entities, online resellers, wholesale accounts, third-party aggregators, organizations, affiliates, partners, or IBmoms insiders are not eligible to register for the Program or earn Points.
Participation is for personal, non-commercial use only and requires strict compliance with these Terms. Sponsor reserves the right to limit or terminate Program Membership, the license to use the Website, or access to certain Website features at any time, without notice.
Members may earn Points through eligible product purchases and other activities as defined on the Program Website, such as creating an account, referring a friend, or providing product reviews. Points awarded for each action are subject to change at any time without notice.
Points, Rewards, and Member Benefits have no cash value, are not transferable, and cannot be sold, bartered, or otherwise exchanged. Sponsor reserves the right to limit the redemption of specific Rewards and Member Benefits and the total number of Points available.
Sponsor may cancel or suspend a Member’s account or accrued Points at its discretion, including for suspected fraud, violation of these Terms, or holding multiple accounts.
3. Joining the Program
To become a Program Member (“Member”), eligible individuals must register at https://innobaby.com/account/register. Membership is free and does not require a purchase. Members are responsible for ensuring that their contact information is accurate and up to date. Sponsor is not liable for any loss resulting from incomplete or outdated contact information.
4. Earning Points
Points are automatically tracked for qualifying purchases and activities. Points for any transaction or activity will only be credited to one Member account and may take up to 24 hours to appear. Sponsor is not liable for any delays or errors in crediting Points to a Member’s account.
5. Purchase Activity
Members earn Points on purchases and activities, with Points allocated as follows:
- Create an Account: Earn 100 points
- Purchases on Innobaby.com: Earn5 Points for every $1 spent.
- Subscribe to Newsletter: Earn 10 points
- Product Reviews: Earn 20 Points per review on www.innobaby.com, up to 10 reviews per month.
- Follow us on Instagram, X, Facebook, TikTok, LinkedIn, and Pinterest: Earn 5 points for each channel.
- Complete Profile: Earn 15 points
Additional opportunities to earn Points may be offered at Sponsor’s discretion. Taxes, delivery fees, and E-Gift Card transactions do not earn Points.
6. Expiration of Points & Rewards
Points and Rewards expire after 180 days of account inactivity. Any unredeemed Points will also expire upon cancellation or termination of your account.
7. Refunds and Points Deduction Policy
When a customer receives a refund for an order, points earned from that order will be automatically deducted from their points balance. This deduction will be reflected in the customer’s points history. Here’s how points deductions apply in different refund scenarios:
- Order Cancellation (Full Refunds): If an order is canceled or fully refunded, all points earned from that order, including any bonus points, will be deducted from the customer’s points balance. This will be documented in the customer’s points history.
- Partial Refunds: For partial refunds, points are deducted based on the value of the refunded item(s). Points earned from the refunded portion of the order will be removed proportionally. This deduction is aligned with the specific products or collections that qualify under the “Complete an Order” rule, ensuring accurate adjustments based on the items returned.
8. Redeeming Rewards
Points may be redeemed for discounts on future purchases, with each 100 Points equating to $1 off. Members must accrue at least 100 Points before the first redemption. Rewards are single-use and cannot be combined with other promotional offers unless specified. Rewards have no cash value and will not be re-issued once redeemed.
Some products may be ineligible for Rewards redemption; eligible and ineligible products will be indicated on the Website at the time of redemption. Rewards details and eligibility are subject to change without notice.
9. Special Member Benefits
Sponsor may offer additional benefits or special offers (“Member Benefits”) on specific transactions or products. Members who have opted out of Innobaby emails will not receive Loyalty emails unless they opt back in.
10. Modification and Termination of the Program
Sponsor reserves the right to modify, add, or remove portions of these Terms, including Points, Rewards, or Member Benefits, at any time, with or without notice. If the Program is terminated, any remaining Points will be forfeited. Sponsor may also discontinue or change Membership Tiers or adjust Points values or expiration dates.
11. Privacy
Sponsor values your privacy. Personal information collected from Members, including name, address, email, phone number, and purchase history, will be managed in accordance with Innobaby's Privacy Policy available at https://innobaby.com/pages/privacy-policy. By participating in the Program, you consent to the collection and use of this information for Program-related communications.
12. Taxes
Members are solely responsible for any applicable federal, state, or local taxes arising from Points accrual or redemption. Please consult a tax advisor if you have questions about potential tax obligations.
Referral Program Terms of Use
These Referral Program Terms apply to the Innobaby Referral Program described on https://www.innobaby.com/pages/rewards (“Referral Program”). Innobaby LLC (“Company,” “we,” or “us”) offers this Referral Program to customers interested in referring friends and family to sign up and shop through innobaby.com. These Terms govern participation by members who refer (“Referrers”) and the individuals who are referred (“Referees”), typically friends and family of Referrers.
1. General
The Referral Program is available only to members located in the United States. These Referral Program Terms supplement any agreements between you and the Company, including our Terms of Use and Privacy Policy (collectively, the “General Terms and Conditions”), which you agreed to when accessing our website or making a purchase. The General Terms and Conditions are incorporated by reference and apply to your participation in the Referral Program.
2. Qualified Referrals
A Qualified Referral must:
- Be a natural person (i.e., no businesses, legal entities, or pets) residing in the United States.
- Be a new or first-time customer of the Company.
- Complete a purchase using the custom referral link or other methods provided by us to enable accurate tracking of referrals.
- Place an order within a reasonable period following the referral, with a subtotal that exceeds a stated minimum.
- Agree to and comply with the General Terms and Conditions.
3. Referral Rewards
The reward amounts may vary and are listed on our referral site (“Referral Site”). The applicable reward amount is the one displayed on the Referral Site at the time the invitation was sent to the Referee.
- Referrer Reward: For each Qualified Referral, the Referrer will receive a $10 discount code or link applicable on one future order. This reward discount code is valid for 180 days from issuance and cannot be combined with any other discount codes.
- Referee Reward: The Referred friend (Referee) will receive a $10 discount code or link, applicable with a minimum purchase of $50. This reward discount code expires 7 days from issuance.
4. Representations
By participating in the Referral Program:
- As a Referrer, you represent and warrant that you have a personal relationship with your Referee(s) or have obtained necessary consent to submit their information to the Referral Program.
- As a Referrer or Referee, you agree to comply with all applicable Company policies, terms, and any laws, rules, or regulations governing your participation in the Referral Program.
5. Restrictions
The following activities are prohibited and may result in disqualification from earning rewards:
- (i) Self-referral.
- (ii) Making purchases on behalf of another or using an account not your own.
- (iii) Creating fake accounts, blogs, web pages, profiles, or other content to distribute referral links.
- (iv) Bulk email distribution or any promotion that could be considered unsolicited commercial email or “spam.”
- (v) Posting your referral link on pages not owned or controlled by you, including merchant, Facebook, or forum pages.
- (vi) Bidding on keywords containing Company marks or common misspellings.
- (vii) Using our logos, trademarks, or trade names in ad text, extensions, or banner ads.
- (viii) Paid advertising aimed at generating traffic directly to your referral link.
- (ix) Misleading anyone regarding your relationship with us or posing as our representative.
- (x) Taking actions or making content disparaging or defamatory to the Company.
Multiple accounts created with the same name, address, email, or other identifying information may be flagged as fraudulent referrals. Referral Rewards are not redeemable for cash, cash equivalents, or previously purchased products. No exchange of value for the Referral Program invitation or any Referral Reward (cash, product, or barter) is allowed, and Referral Rewards cannot be transferred to others.
Referral Rewards cannot be combined with any other discount codes. Each Referee may earn only one Referral Reward per Referrer. If a Referee returns a purchased item associated with the Referral Program, the Referral Reward for the Referrer will be rescinded. Abuse of this offer, as determined solely by the Company, may result in the rescission of the Referral Reward and disqualification from future promotions. Referral Rewards cannot be applied to previous purchases, are non-transferable, and are not redeemable for cash.
Limits may apply to the amount of Referral Rewards you can earn and the timeframe for earning them.
6. Reservation of Rights
We reserve the right to withhold, deny, or cancel any Referral Rewards and/or terminate your account if, in our sole discretion, we determine that any Referral Reward was earned through fraud, abuse, unethical conduct, or in a manner inconsistent with these Terms, the General Terms and Conditions, or applicable laws. All decisions made by the Company regarding the Referral Program are final.
7. Refund Policy for Referral Program
If a Referee (referred friend) receives a full refund for an order that qualified the Referrer for a Referral Reward, adjustments will be made as follows:
- Full Refunds: If the Referee fully refunds their purchase, they will receive the full amount they paid, excluding the $10 discount code value, as a monetary refund. In this case, the Referrer’s $10 reward discount code will be rescinded and no longer available for use.
- Partial Refunds: For partial refunds, Referral Reward points or discounts earned by the Referrer will be adjusted based on the refunded amount like points deducted proportionally to the value of the refunded item(s).
8. Termination
We reserve the right to suspend or terminate the Referral Program, or to amend these Referral Program Terms, at any time and for any reason, at our sole discretion.
